Hosting Provider Performance or Availability
The use of any Intuit or third-party product is also governed by that provider’s license agreement, privacy policy, subscription terms, cancellation policy, refund policy, and other applicable terms.

Recurring Charges and Renewals
Kingbooks does not enrol customers in recurring charges for its own consulting, installation, setup, migration, or training services unless the customer separately requests and agrees to a recurring service in writing.
Software subscriptions and services provided by Intuit or another third party may renew automatically and may involve recurring charges under the applicable provider’s terms.
Customers are responsible for reviewing and managing third-party subscription renewals, cancellation deadlines, billing information, and account settings.
Cancellations and Refunds

Customer Responsibilities

Confirming Computer, Server, Network, and Software Compatibility
Maintaining Valid Software Licenses
Protecting Account Credentials
Providing Timely Access and Instructions
Maintaining Reliable Equipment and Internet Access
Reviewing Completed Work
Testing Software Configurations and Migrated Data
Maintaining Current Backups
Complying with Applicable Laws and Provider Terms
The customer must promptly notify Kingbooks of errors, unauthorized access, suspected fraud, or problems affecting the agreed service.
Installation and System Compatibility
Customers must confirm that their computers, servers, networks, operating systems, storage, internet connections, and connected applications satisfy the applicable product requirements.
Kingbooks is not responsible for problems caused by:
Unsupported Operating Systems
Outdated or Inadequate Equipment
Insufficient Server Resources
Network or Internet Failures
Malware or Security Incidents
Existing Software or Data Corruption
Conflicting Applications
Unauthorized Software
Third-Party Integrations
Changes Made by the Customer or Another Service Provider
Additional hardware, software, licenses, network configuration, or technical services may be required and may involve additional charges.
Data Migration
Data migration depends on the source product, product version, file size, file condition, data structure, integrations, and information available.
Not every record, field, attachment, template, report, transaction, setting, or historical item can be transferred from every product.
Before migration, the customer is responsible for:

Confirming Authority to Provide the Data
Protecting Passwords and Sensitive Information
Reviewing the Proposed Migration Scope
Testing and Approving Migrated Information
The customer must review migrated data before relying on it for accounting, payroll, tax, inventory, financial, or business decisions.
Kingbooks does not guarantee that every item will transfer exactly or that damaged, incomplete, or incompatible data can be recovered.
Remote Access
When remote access is required, the customer authorizes Kingbooks to access only the systems and information reasonably necessary to provide the agreed service.

Provide Temporary Access Where Possible
Monitor Remote Access When Appropriate
Remove or Change Temporary Credentials After the Service Is Completed
Kingbooks will not request banking passwords, complete payment-card numbers, or unrelated confidential credentials through a public website form.

Limitation of Liability
To the fullest extent permitted by applicable law, Kingbooks will not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profit, revenue, business opportunity, goodwill, data, or use.
To the fullest extent permitted by applicable law, Kingbooks’ total liability relating to a particular paid service will not exceed the amount paid directly to Kingbooks for that specific service.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Events Outside Reasonable Control
Kingbooks is not responsible for delays or failures caused by circumstances outside its reasonable control, including:

Suspension or Termination

Termination does not remove payment obligations for products delivered, services completed, or nonrecoverable costs already incurred.
Governing Law and Disputes
To the extent permitted by applicable law, these Terms are governed by the laws of the State of New Jersey and applicable United States federal law, without regard to conflict-of-law principles.
Before beginning formal legal proceedings, the parties should make a reasonable attempt to resolve the dispute through direct written communication.
Any legal action not subject to another mandatory jurisdiction must be brought in a court of competent jurisdiction serving Hudson County, New Jersey.
Changes to These Terms
Kingbooks may update these Terms to reflect changes in its services, business practices, provider requirements, or applicable laws.
Changes apply after publication on this website. The terms accepted for a completed order will continue to govern that order unless the parties agree otherwise in writing.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply.
Failure to enforce any provision does not waive the right to enforce it later.

If a signed written agreement expressly conflicts with these general Terms, the signed written agreement will control for that particular transaction.
